CLIENT EXPRESSLY ACKNOWLEDGES THAT NO RESULTS, RANKINGS, TRAFFIC, CONVERSIONS, LEADS, SALES, OR OTHER BUSINESS OUTCOMES CAN BE GUARANTEED. While Our Services are designed to improve digital presence and marketing performance, the internet, search engines, algorithms, and user behavior are dynamic and subject to constant change. Success depends on numerous factors beyond Our control, including but not limited to: algorithm updates, competitor actions, market conditions, client cooperation, and data accuracy. Client assumes all risk associated with the implementation and use of Our Services.
We reserve the right to modify, suspend, or discontinue any aspect of Our Services at any time and without prior notice. We are not liable to you or any third party for any modification, suspension, or discontinuation of Services. Such changes may be made in Our sole discretion to improve service quality, comply with legal requirements, or for any other reason.
Client agrees to:
Client must not use Our Services for: illegal activities, harassment, defamation, spam, unlicensed operations, misleading claims, or violating intellectual property rights. Client is solely responsible for compliance with all laws governing their business and industry. We may terminate services immediately if Client engages in prohibited activities.
All fees for Services shall be as specified in the SOW or invoice provided by IncreaseMyClicks.com. Pricing is in the currency specified and is subject to applicable taxes and government fees. We reserve the right to adjust fees upon 30 days' written notice for ongoing services.
Payment is due according to the terms specified in the invoice (Net 15, Net 30, or as otherwise agreed). We accept wire transfer, credit card, ACH, and other mutually agreed methods. Client is responsible for all bank fees and processing charges. Late payments are subject to a monthly interest charge of 1.5% (or the maximum allowed by law, whichever is less).
UNLESS EXPRESSLY STATED IN WRITING BY AN AUTHORIZED REPRESENTATIVE OF INCREASEMYCLICKS.COM, ALL SERVICES ARE PROVIDED ON A NON-REFUNDABLE BASIS. Once services have been initiated or work has begun, no refunds shall be issued regardless of satisfaction level or results achieved. Client agrees that termination of services does not entitle them to a refund of fees paid for services already rendered. Any promotional or discounted rates are non-refundable and apply only to the specified service period.
Services beyond the scope of the SOW, urgent requests, expedited delivery, or services requiring specialized expertise may incur additional charges. Such charges shall be quoted separately and require Client's written approval before work commences.
All methodologies, tools, processes, strategies, templates, frameworks, code, software, and intellectual property developed, owned, or used by IncreaseMyClicks.com ("Company IP") remain the exclusive property of IncreaseMyClicks.com. This includes but is not limited to: proprietary marketing strategies, analytics tools, research, reports, and any technology or methodologies used to deliver Services.
Client retains ownership of their pre-existing intellectual property and content. However, Client grants Us a non-exclusive, royalty-free, perpetual license to use Client materials solely for the purpose of delivering Services, improving Our Services, and for anonymized case studies or portfolio use.
Deliverables created specifically for Client (such as custom website designs, content pieces, or reports) shall be owned by IncreaseMyClicks.com until final payment is received in full. Upon receipt of final payment, Client receives a limited license to use deliverables for the purposes outlined in the SOW. Client may not resell, redistribute, or repurpose deliverables without written permission. IncreaseMyClicks.com retains the right to use deliverables as case studies, portfolio examples, or for promotional purposes (with Client anonymity if requested).
Client may not license, sublicense, or grant rights to Our deliverables or methodologies to any third party without Our express written consent.
OUR WEBSITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO: (A) IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT; (B) WARRANTY THAT SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE; (C) WARRANTY REGARDING THIRD-PARTY TOOLS, PLATFORMS, OR ALGORITHMS NOT CONTROLLED BY US; AND (D) ANY WARRANTY THAT RESULTS WILL MEET CLIENT'S EXPECTATIONS.
WE DO NOT GUARANTEE UPTIME, AVAILABILITY, PERFORMANCE, OR THAT DEFECTS WILL BE CORRECTED. CLIENT USES THE WEBSITE AND SERVICES AT THEIR OWN RISK. NO ORAL STATEMENTS, PROMISES, OR REPRESENTATIONS BY OUR REPRESENTATIVES SHALL CONSTITUTE A WARRANTY UNLESS EXPRESSLY STATED IN WRITING AND SIGNED BY AN AUTHORIZED OFFICER OF INCREASEMYCLICKS.COM.
IN NO EVENT SHALL INCREASEMYCLICKS.COM, ITS OWNERS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR: (A) ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES; (B) LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY; (C) LOSS OF GOODWILL OR REPUTATION; OR (D) ANY OTHER LOSS OR DAMAGE WHATSOEVER, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

SOME JURISDICTIONS DO NOT ALLOW LIMITATION OF LIABILITY, SO THIS LIMITATION MAY NOT APPLY TO YOU, BUT YOU EXPRESSLY AGREE TO ACCEPT AND COMPLY WITH THIS LIMITATION TO THE FULLEST EXTENT PERMITTED BY LAW.
THESE LIMITATIONS APPLY REGARDLESS OF THE LEGAL THEORY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF INCREASEMYCLICKS.COM HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
CLIENT AGREES TO INDEMNIFY, DEFEND, AND HOLD HARMLESS INCREASEMYCLICKS.COM, ITS OWNERS, OFFICERS, EMPLOYEES, AGENTS, AND CONTRACTORS FROM AND AGAINST ANY AND ALL CLAIMS, LIABILITIES, DAMAGES, COSTS, AND EXPENSES (INCLUDING REASONABLE ATTORNEYS' FEES) ARISING FROM OR RELATED TO: (A) CLIENT'S BREACH OF THESE TERMS; (B) CLIENT'S USE OF OUR SERVICES; (C) CLIENT'S VIOLATION OF APPLICABLE LAWS; (D) INFRINGEMENT OF THIRD-PARTY RIGHTS BY CLIENT CONTENT OR CLIENT'S BUSINESS PRACTICES; (E) THIRD-PARTY CLAIMS AGAINST US RESULTING FROM CLIENT'S ACTIONS OR OMISSIONS.
This indemnification obligation applies regardless of whether We contributed to the claim and remains in effect even after termination of services.
Both parties agree to maintain the confidentiality of proprietary information and trade secrets disclosed during the engagement. However, confidentiality obligations shall not apply to information that: (a) is publicly available; (b) was rightfully known prior to disclosure; (c) is rightfully received from third parties; (d) is independently developed; (e) must be disclosed by law or court order.
Unless expressly prohibited in writing, Client authorizes IncreaseMyClicks.com to use Client's company name, logo, project results, and case studies in Our marketing materials, website, presentations, and portfolio. We may share anonymized data and results for promotional purposes. Client may request anonymity, which We will honor to the extent commercially reasonable.
Services are provided for the term specified in the SOW or invoice. If no term is specified, the agreement is considered month-to-month.
IncreaseMyClicks.com may terminate or suspend Services immediately and without cause if: (a) Client breaches these Terms; (b) Client fails to pay fees when due; (c) Client engages in illegal or prohibited activities; (d) Client's business model violates our policies; (e) We believe continuing the engagement poses legal or reputational risk. Upon termination, all fees remain due and payable. Client shall remain liable for all services rendered up to the termination date.
Client may terminate Services with 30 days' written notice. However, Client remains liable for all fees for the 30-day notice period. If Client has paid for services in advance or on a project basis, no refunds shall be issued for the terminated period. Work in progress shall not be completed, and Client shall not receive deliverables for the post-termination period.
Upon termination: (a) all payment obligations remain due; (b) Client's access to services ceases immediately; (c) We have no obligation to transition data or services; (d) confidentiality obligations survive; (e) We may delete Client data after 30 days unless otherwise required by law; (f) all provisions limiting Our liability survive termination.
These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of laws principles. Client consents to the exclusive jurisdiction of the courts located in India for any disputes. Client waives any objections based on inconvenient forum or improper venue. By using Our Services, Client expressly submits to the jurisdiction of Indian courts.
Before initiating legal proceedings, parties agree to attempt good-faith negotiation for 30 days. The party seeking resolution shall provide written notice specifying the dispute details to the other party.
If informal resolution fails, either party may initiate formal legal proceedings in the courts of India. Client agrees to pay all reasonable attorneys' fees and costs incurred by IncreaseMyClicks.com in enforcing these Terms or collecting payment.
Our Website may contain links to third-party websites. We are not responsible for the content, accuracy, or practices of third-party sites. Your use of third-party sites is governed by their terms and policies. We do not endorse third-party content.
Our Services may include integration with or reliance on third-party platforms (Google, Facebook, Instagram, Amazon, etc.). We are not liable for third-party platform changes, API modifications, algorithm updates, policy changes, or service disruptions. Client is responsible for understanding and complying with third-party platform terms of service.
IncreaseMyClicks.com reserves the absolute right to modify these Terms at any time without notice. Modifications become effective immediately upon posting to the Website. Continued use of Our Services following any modification constitutes Client's acceptance of the revised Terms. It is Client's responsibility to review these Terms periodically for changes. If Client objects to any modification, Client's sole remedy is to discontinue use of Our Services.

These Terms, along with any SOW or Service Agreement, constitute the entire agreement between Client and IncreaseMyClicks.com. All prior or contemporaneous agreements, understandings, and representations are superseded. Any modifications must be in writing and signed by authorized representatives.
Our failure to enforce any right or provision shall not constitute a waiver of such right or provision. Any waiver must be express and in writing.
IncreaseMyClicks.com shall not be liable for delays or failures in performance due to causes beyond Our reasonable control, including but not limited to: natural disasters, acts of God, war, terrorism, pandemics, government actions, internet outages, or third-party platform disruptions. Client waives any claim for damages relating to force majeure events. During force majeure, services may be suspended without penalty.
